1. Acceptance of Terms

By accessing and using Shop Commander ("Service," "we," "us," or "our"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

2. Description of Service

Shop Commander is an e-commerce analytics dashboard that aggregates data from multiple platforms including WooCommerce, Shopify, eBay, Amazon, Etsy, Google Analytics, and other integrations. Our Service provides:

• Unified dashboard for viewing sales and analytics data
• Daily health email reports
• Team collaboration features
• Data visualization and reporting tools
• Store connection management

3. Account Registration and Security

3.1 Account Creation

To use our Service, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Maintain and update your information to keep it current
• Have the authority to bind your business to these Terms

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use or security breach.

4. Subscription Plans and Billing

4.1 Plans

We offer the following subscription plans:

• Starter: $29/month or $290/year - Up to 3 stores
• Professional: $79/month or $790/year - Up to 10 stores, daily health emails
• Business: $199/month or $1,990/year - Unlimited stores, all features

4.2 Free Trial

New accounts receive a 7-day free trial. You may cancel anytime during the trial without charge. After the trial, your subscription will begin and you will be charged automatically.

4.3 Billing

• Subscriptions are billed in advance on a monthly or annual basis
• Payments are processed securely through Stripe
• You authorize us to charge your payment method automatically
• All fees are non-refundable except as required by law
• We reserve the right to change pricing with 30 days' notice

4.4 Cancellation

You may cancel your subscription at any time through the billing portal. Cancellations take effect at the end of the current billing period. You will retain access until the end of your paid period.

5. Platform Integrations

5.1 Authorization

By connecting third-party platforms (WooCommerce, Shopify, Google Analytics, etc.), you authorize us to access and retrieve data from those platforms on your behalf.

5.2 Your Responsibility

You are responsible for:

• Ensuring you have necessary permissions to connect platforms
• Maintaining valid API credentials
• Complying with each platform's terms of service
• The accuracy of data from connected platforms

5.3 Service Availability

We are not responsible for changes, downtime, or discontinued features from third-party platforms. If a platform becomes unavailable, we will make reasonable efforts to restore connectivity.

6. Acceptable Use

6.1 Prohibited Activities

You agree NOT to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Reverse engineer or decompile our software
• Use the Service to compete with us
• Share your account with unauthorized users
• Scrape or harvest data from our Service
• Overload our systems or abuse resources

6.2 Enforcement

We reserve the right to investigate violations and take appropriate action, including suspension or termination of your account, with or without notice.

7. Data Ownership and Use

7.1 Your Data

You retain all rights to your e-commerce data and content. We do not claim ownership of your data.

7.2 Our Rights

You grant us a limited license to access, store, and process your data solely to provide the Service. We may use anonymized, aggregated data for analytics and service improvement.

7.3 Data Backup

While we perform regular backups, you are responsible for maintaining your own backups of critical data. We are not liable for data loss.

8. Intellectual Property

The Service, including all content, features, functionality, software, and design, is owned by Shop Commander and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

9. Disclaimers and Limitations of Liability

9.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 No Guarantee

We do not guarantee that:

• The Service will be uninterrupted, secure, or error-free
• Data will be accurate, complete, or up-to-date
• Defects will be corrected
• Third-party integrations will always be available

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOP COMMANDER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE LAST 12 MONTHS.

10. Indemnification

You agree to indemnify and hold harmless Shop Commander and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

We may terminate or suspend your account immediately, without prior notice, for:

• Violation of these Terms
• Non-payment of fees
• Fraudulent or illegal activity
• At our sole discretion for any reason

Upon termination, your right to use the Service ceases immediately. You may export your data before termination. We are not obligated to retain your data after account closure.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Continued use after changes constitutes acceptance of the modified Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except for claims that may be brought in small claims court.

14. Miscellaneous

14.1 Entire Agreement

These Terms constitute the entire agreement between you and Shop Commander regarding the Service.

14.2 Severability

If any provision is found unenforceable, the remaining provisions will remain in effect.

14.3 Waiver

Our failure to enforce any right or provision shall not be deemed a waiver.

14.4 Assignment

You may not assign these Terms without our written consent. We may assign our rights without restriction.
